Hyperliquid Strategies has expanded its committed equity facility with Chardan Capital Markets to $2.5 billion from $1 billion, giving the Nasdaq-listed HYPE treasury firm significantly more capacity to raise capital through new share sales.<\/p>\n\n\n\n
The company disclosed the increase in a Sept. 1 filing with the U.S. Securities and Exchange Commission. The amended agreement raises the total potential gross purchase price of newly issued common stock to $2.5 billion.<\/p>\n\n\n\n
The facility allows Hyperliquid Strategies to sell newly issued shares to Chardan under the terms of the agreement. However, the expanded commitment does not mean the company has already raised the additional $1.5 billion.<\/p>\n\n\n\n
The company has already used much of its original financing capacity. Recent company disclosures indicate it had raised about $646.6 million through share sales and deployed $773.4 million to acquire roughly 16.5 million HYPE tokens at an average price of $46.77.<\/p>\n\n\n\n
The larger facility could therefore provide additional flexibility for the firm’s HYPE treasury strategy and other corporate needs.<\/p>\n\n\n\n
The amendment also introduces restrictions on discounted share issuance after the first $1 billion of stock sales.<\/p>\n\n\n\n
If shares are issued below $12.02, the company cannot exceed 42.64 million shares, equivalent to 19.99% of shares outstanding before the amendment, unless shareholders approve a larger issuance or Nasdaq rules provide an exemption.<\/p>\n\n\n\n
The structure gives Hyperliquid Strategies greater fundraising capacity while placing limits on potentially dilutive issuance at lower share prices. The company held approximately 29.4 million HYPE tokens as of Aug. 23, according to its latest filing.<\/p>\n\n\n\n
The move highlights the growing role of public companies as vehicles for accumulating crypto assets.
