CME Group Challenges CFTC Over Approval of Onchain Perpetual Futures

CME Group has filed a lawsuit against the U.S. Commodity Futures Trading Commission, escalating a major regulatory dispute over the approval of onchain perpetual futures contracts. The exchange argues that these products should be classified as swaps rather than futures, claiming the regulator bypassed the formal rule making process required under U.S. law.

Regulatory Classification at the Center

The lawsuit targets the CFTC’s decision to allow platforms including Kalshi to list Bitcoin perpetual futures and to permit Coinbase to provide access to regulated perpetual products. CME contends that perpetual contracts, which have no expiration date and rely on continuous funding mechanisms, meet the legal definition of swaps under the Dodd-Frank Act rather than futures.

According to the complaint, the CFTC reversed its previous interpretation without conducting the notice-and-comment rulemaking process. CME argues that this change violates both the Commodity Exchange Act and the Administrative Procedure Act. The company is asking the court to vacate the agency’s approval and declare that cryptocurrency perpetual contracts are swaps, not futures.

Industry Implications

The case could have significant consequences for the U.S. crypto derivatives market. If the court sides with CME, exchanges seeking to offer perpetual contracts could face substantially stricter regulatory requirements applicable to swaps, including additional compliance, capital, and margin obligations.

Supporters of the CFTC’s decision argue that regulated perpetual futures will help bring a product long dominated by offshore crypto exchanges into the U.S. regulatory framework. Critics, including CME, counter that classifying perpetuals as futures creates an uneven competitive landscape and weakens safeguards established after the 2008 financial crisis.

The CFTC has dismissed CME’s lawsuit as lacking merit, while companies benefiting from the approvals have characterized the legal challenge as an attempt to limit competition rather than protect market integrity.

The outcome of the litigation is expected to shape the future of crypto perpetual futures in the United States and establish an important legal precedent for how digital asset derivatives are regulated.
