Evernorth XRP Treasury Stock Plunges 47% as 73.7 Million Shares Face Potential Resale
Ripple-backed Evernorth Holdings has suffered a sharp stock market decline just weeks after its Nasdaq debut. Shares have fallen nearly 47% from their October peak, raising concerns about investor confidence in XRP-focused treasury companies.
The decline comes as Evernorth faces another challenge. A new regulatory filing identifies approximately 73.7 million shares that existing investors could eventually sell, creating uncertainty about future selling pressure.
Evernorth Shares Hit Record Low After Nasdaq Debut
Evernorth began trading on Nasdaq under the ticker XRPN on October 12, 2026, following its merger with a special purpose acquisition company.
The stock initially reached $19.39 but closed at $10.05 on November 5, marking a decline of approximately 48.2% from that high.
The company entered public markets holding approximately 473 million XRP. Its investment strategy focuses on expanding cryptocurrency reserves while increasing XRP holdings per share.
However, its market debut faced challenges from the beginning. Investors redeemed approximately 80% of the predecessor SPAC’s public shares before the merger closed on October 9.
SEC Filing Raises Concerns About Selling Pressure
An October 30 filing with the Securities and Exchange Commission registered up to 73,688,162 Class A shares for potential resale by 21 securityholders.
The registered amount represents nearly three times Evernorth’s outstanding Class A shares as of October 22. However, the total includes securities requiring conversion, exchange, or warrant exercise before becoming Class A shares.
Major investors identified in the filing include Arrington XRP Capital Fund, with approximately 33.82 million shares, and Ripple Labs, with roughly 18.14 million shares.
Four SBI-affiliated entities account for approximately 11.79 million shares. Meanwhile, the Larsen Lam Children’s Remainder Trust, associated with Ripple co-founder Chris Larsen, holds about 7.15 million registered shares.
Importantly, the filing does not confirm that these investors intend to sell their holdings.
Lock-Up Restrictions Could Delay Major Share Sales
Several prominent shareholders face contractual restrictions that limit immediate selling activity. Ripple, the Arrington sponsor, and the Larsen-linked entity generally remain subject to six-month lock-up agreements until April 9, 2027.
Furthermore, the preliminary registration must become effective before investors can conduct sales under the prospectus.
Although these restrictions provide temporary limits on potential selling, investors remain exposed to uncertainty surrounding future share supply.
Evernorth’s performance also highlights the risks associated with publicly traded cryptocurrency treasury companies. Their valuations depend on digital asset prices, investor demand, and expectations about future capital requirements.
For now, Evernorth faces the challenge of rebuilding market confidence while demonstrating that its XRP accumulation strategy can deliver sustainable shareholder value.
