SEC Sets Path to Propose ‘Reg Crypto’ Rules for Certain Digital Asset Offerings

The U.S. Securities and Exchange Commission is moving toward a major cryptocurrency rulemaking that could give certain digital asset projects a new path to raise capital without immediately registering token offerings as securities.

The proposal, known as Regulation Crypto or “Reg Crypto,” has emerged as a key part of SEC Chairman Paul Atkins’ effort to establish clearer rules for the digital asset industry. The agency’s updated regulatory agenda placed the proposal among its near-term priorities, with the framework advancing through the federal review process.

Reg Crypto Targets Crypto Fundraising

The proposed framework could create exemptions or safe harbors for qualifying crypto projects and certain digital asset offerings. The goal is to address a long-standing problem for startups that want to issue tokens but face uncertainty over how existing securities rules apply.

Earlier descriptions of the framework have pointed to several potential elements:

  • A temporary exemption for qualifying early-stage crypto projects
  • A pathway for certain token-based fundraising activities
  • A safe harbor that could clarify when an asset may move outside securities regulation
  • Disclosure and investor-protection requirements for participating projects

The SEC has not yet finalized the proposal, and its terms could change before publication and public comment.

Broader U.S. Crypto Regulation Takes Shape

The initiative comes as U.S. regulators and lawmakers work to establish a broader framework for cryptocurrencies and digital assets. The SEC has also pursued clearer classifications for different types of tokens while coordinating more closely with the Commodity Futures Trading Commission.

For crypto companies, a formal offering framework could reduce uncertainty around launching new networks and raising funds in the United States. However, the eventual impact will depend on eligibility requirements, fundraising limits, disclosure obligations and how regulators define qualifying assets.

The proposal also remains subject to the federal rulemaking process. Until the SEC formally releases it, market participants should treat reported provisions and timelines as subject to change.

If adopted, Reg Crypto could become an important piece of the U.S. digital asset regulatory framework by creating a clearer route for certain token offerings while maintaining securities-law protections for investors.
